How to Complete the CC6 Form: Application for Voluntary Winding-up in Namibia

An application for voluntary winding up is required when a corporation wishes to close down its operations. This process can be initiated by the corporation’s members or creditors. The CC6 form must be completed and submitted to the Registrar of Close Corporations along with a fee of N$ 60.

In this guide, we will explain how to complete the CC6 form, step-by-step.

Step 1: Provide corporation details

Provide the full name of the corporation and its registration number.

Step 2: Indicate the resolution for voluntary winding-up

As a member or creditor of the corporation, you must indicate that a meeting was held where it was resolved that the corporation be wound up voluntarily by either members or creditors. Indicate the date of the meeting and ensure that all members have signed the form and provided their respective dates.

Step 3: Register the resolution with the Registrar of Business

Once the resolution has been signed by all members, it must be registered with the Registrar of Business. Indicate the date that the resolution was registered and ensure that the Registrar has also signed and provided the date.

Step 4: Complete corporation details

The corporation must complete their details by providing their name, postal address and email address.

By following these four steps, you will have successfully completed the CC6 form for voluntary winding-up. For more information, refer to the Companies Act, 2004 (Act No. 28 of 2004) and the regulations.
