How to Complete the CC4 Form for Application for Conversion in Namibia

If you are a member of a company in Namibia and want to convert it into a corporation, you need to fill out and submit the CC4 form to the Business and Intellectual Property Authority (BIPA).

Here are the steps you need to follow to complete the form accurately:

Step 1: Fill out the company details

In the first section of the form, you need to provide the registration number of your company and its name.

Step 2: Declare your intention to convert

In the next section, you need to declare that you and all the other members of the company wish to convert it into a corporation. You also need to state that the assets of the corporation, fairly valued, will exceed its liabilities, and that the corporation will be able to pay its debts as they become due in the ordinary course of its business.

Step 3: Attach required documents

You need to attach two documents along with the CC4 form:

(a) A statement in writing by the author as required by section 27(2)(b) of the Act, which specifies the reasons for the conversion.

(b) A founding statement in terms of section 12 of the Act, which includes the details of the proposed corporation, such as its name, objectives, initial directors, share capital, and registered office address.

Step 4: Sign and date the form

All members of the company need to sign and date the form in the provided spaces.

Step 5: Submit the form

After completing the form, you need to submit it in duplicate to BIPA, along with the required documents and the prescribed fee.
